Marvell is dedicated to fostering a culture of transparency, integrity, and honesty throughout our entire organization. We ask all of our employees and stakeholders worldwide to actively participate in creating and maintaining this culture.
To further our commitment to these efforts, we have a robust program in place, including both a Code of Business Conduct and Core Behaviors for our employees and a Supplier Code of Conduct that outlines our expectations for third parties with whom we do business. Marvell’s Ethics & Compliance Program is responsible for a wide range of policies and procedures related to governance, ethics, and corporate social responsibility, and helps to ensure that all of our stakeholders have the guidance and resources needed to operate with the highest standards of corporate conduct globally.
Marvell’s stakeholders have an obligation to speak up if they become aware of any violation of the Code of Business Conduct or other Marvell policy, the law, or any regulatory requirements. Employees are encouraged to speak to any Marvell executive or manager whom they trust, Human Resources, a dedicated Employee Relations representative, the Compliance Team, the Conflict of Interest Review Committee, or a member of the Legal Department. Through our dedicated Concern Line, Marvell also provides our stakeholders a simple but effective tool to report actual or perceived violations of the law, or Marvell’s Code of Conduct and its policies and procedures. All calls to the Concern Line can be anonymous, and every report is investigated. Marvell does not tolerate retaliation against any employee for making a good faith report of a potential violation of our Code of Business Conduct, a company policy, or the law, or for participating in an investigation.

Marvell trains all employees every two years on the Code of Business Conduct and Ethics and requires that all employees certify adherence to the Code annually. Between February 1, 2020 and January 31, 2021, 93% of employees completed the certification. Marvell strives to have 100% of its employees complete the certification.
Employees in third-party facing roles (such as Marvell’s salespersons) are also required to complete a Compliance Certification on a quarterly basis. These certifications are further part of Marvell’s commitment to ethical behavior and are designed to ensure our employees continued understanding of their obligations under the Code of Business Conduct and compliance with Marvell’s Core Behaviors. We’re proud to report that between February 1, 2020 and January 31, 2021, 100% of the required employees completed this certification every quarter.
In 2020, opportunities for live, in-person trainings were limited due to the COVID-19 pandemic, however, we were able to adapt and provide real time, web-based ethics education events with groups of employees based on their location and business function.
Marvell responds to every concern or report of employee misconduct thoroughly, consistently, and in a timely manner.
Marvell’s Investigations Policy requires all Marvell personnel to cooperate with any Marvell-related inquiry or investigation. Marvell involves relevant governmental authorities as necessary and remains committed to assisting governmental authorities in conducting their investigations.
While very few companies of our size can expect to be entirely free of ethics inquiries or violations, we believe that Marvell continues to demonstrate a high level of ethical awareness and communication across the organization and will endeavor to continuously improve our efforts in this area.
